Terms of Use

These Harley AI Terms of Use define the relationship between 1000457500 ONTARIO INC. (“Harley AI”) and you when you access and use harley.coach and its related services.

Please read these Harley AI terms of use (“Terms of Use”) carefully: by using harley.coach (“Site”) or any Harley AI service (“Service”), you agree to be bound by these Terms of Use. If you do not agree with any of these terms, you are prohibited from using or accessing this site.

These terms, together with our privacy policy, form an agreement between you and Harley AI. By using Harley AI services, you represent to us that you are legally competent to enter into this agreement.

Description of Service

Harley AI provides a suite of AI-powered coaching and personal development tools to enhance your wellbeing and productivity.

Registration and Security

By completing the registration process for any given Services, you are agreeing to the terms and conditions of these terms. You agree to provide Harley AI with accurate and complete registration information and to promptly notify our support team via the help page in the event of any changes to any such information.

Accounts registered by “bots” or other automated methods are not permitted. You are responsible for maintaining the security of your account. Harley AI cannot and will not be liable for any loss or damage from your failure to comply with this security obligation. You may not use the service for any illegal or unauthorized purpose. You must not, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). Unless you have the express written permission from Harley AI, you may not distribute any portion thereof to any third parties. You may not disassemble or reverse engineer any part of the Service for any purpose and at all times are bound by these Terms of Use.

You may use all of the free features of Harley AI free of charge. Using features that are not free of charge may incur charges.

You are responsible for keeping your password confidential. This means, that you don’t give it to anyone else, that you don’t permit or enable third parties to gain knowledge of it and that you take the necessary steps to guarantee its confidentiality. If your credentials are lost or misused or if you suspect that they have been lost or misused, you must notify us of this immediately via our help page.

Payment, Refunds, Upgrading and Downgrading Terms

Certain features are only accessible to users who pay for premium accounts. You will find all the benefits and features of Harley AI Premium Accounts on our Site.

  1. A valid credit card is required for non-free users. Free users are not required to provide a credit card number or use any payment service.
  2. Charges are due at the beginning of each invoicing period. If you have a subscription, it will renew automatically until you disable auto renewal. Every further payment will be due at the beginning of the new payment cycle. As long as your Account remains active and in good standing, You will be charged the Subscription Fee even if You never use the service. You may, however, cancel Your Paid Plan at any time.
  3. If you cancel after your subscription renewal date, you will not receive a refund for any amounts that have been charged. Your cancellation will be effective at the end of your then-current subscription period, subject to applicable law, and you may use the Services until your cancellation is effective (unless your access is suspended or terminated as set forth below).
  4. If you are delayed with your payment obligations (including immediately after the first default), we will be entitled to block access to your Harley AI Premium Account.
  5. Downgrading your Service may cause the loss of content, features, or capacity of the Service. Harley AI does not accept any liability for such loss.

Our payment process is conducted by our authorized service providers. They handle all of our payment processing.

Cancellation and Termination

Harley AI, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other Harley AI Service, for any reason at any time. Such termination of the Service will result in the deactivation of your account and cancellation of any existing subscription. Harley AI reserves the right to refuse service to anyone for any reason at any time. Following a termination pursuant to the foregoing sentence, Harley AI shall refund the pro rata portion of any Prices relating to the remaining term, as applicable.

Modifications to the Service and Prices

  1. Harley AI reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
  2. Prices of all Services are subject to change. Changes will be displayed on the Harley AI website or the Service itself
  3. Harley AI shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

Harley AI reserves the right to revise its Prices, including by increasing or adding new Prices, at any time on ten (10) days’ notice. Such notice may be sent to you by email to your most recently provided email address or posted on the Site or by any other manner chosen by Harley AI in its commercially reasonable discretion. You will be deemed to have received any such notice that is posted on the Site on the day it was posted. Your use of the Services after the ten (10) day notice period constitutes your acceptance of the new or revised Prices.

Copyright and Content Ownership

  1. You are strictly prohibited from, and agree that you will not, adapt, edit, change, modify, transform, publish, republish, distribute, or redistribute Harley AI or any elements, portions, or parts thereof, including without limitation, to any elements, portions, or parts of Harley AI software (in any form or media) without Harley AI’s prior written consent. You agree not to use any automated data collection methods, data mining, robots, scraping or any data gathering methods of any kind on Harley AI Services.

All text, graphics, editorial content, data, formatting, graphs, designs, HTML, look and feel, photographs, music, sounds, images, software, videos, designs, typefaces and other content (collectively “Proprietary Material”) that users see or read through the Services is owned by Harley AI, excluding user-generated content that Harley AI has the right to use. Proprietary Material is protected in all forms, media and technologies now known or hereinafter developed. Harley AI owns all Proprietary Material, as well as the coordination, selection, arrangement and enhancement of such Proprietary Materials as a Collective Work under the United States Copyright Act, as amended. Users may not copy, download, use, redesign, reconfigure, or retransmit anything from the Services without Harley AI’s express prior written consent and, if applicable, the holder of the rights to the user-generated content.
  2. User-generated content submitted to Harley AI retains original copyright, but by submitting such content, the user grants Harley AI a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the user-generated content in connection with the Service, in any media formats and through any media channels.
  3. Any unauthorized use of the materials appearing on the Service may violate copyright, trademark and other applicable laws and could result in criminal or civil penalties.

Intellectual Property Rights

All title, ownership rights and intellectual property rights in and to the Service are owned by Harley AI or its licensors. The Service is protected by copyright laws and treaties around the world. All such rights are reserved.

Limitation of Liability

In no event shall Harley AI, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Warranty Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.

Harley AI does not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements.

Changes to Terms of Use

Harley AI reserves the right, in its sole discretion, to modify or replace these Terms of Use at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Governing Law

These Terms of Use and any disputes or claims arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of Ontario, Canada.
